4. Freeze Fees and Early Cancellation
4.1 Freeze (Membership Pause). The Member may pause (“freeze”) the Membership at any time during the Initial Term or any Renewal Term by submitting a written freeze request to the Studio via www.novaclubhouse.com/freeze-or-cancel-request or via email or via front desk. The freeze request must be submitted at least (5) business days before the next billing cycle. While the Membership is frozen:
• Freeze Fee. The Member will be charged a non-refundable freeze fee of fifty U.S. dollars ($50.00) per month (the “Freeze Fee”), billed on each Billing Date in lieu of the regular monthly dues, for each month or partial month the Membership remains frozen.
Freeze Fee Billing Adjustment. Freeze Fee billing date adjustments. If the member requires the freeze date to start on a date different from their original billing date, a one time twenty five U.S. dollars $25 charge will be incurred.
Illustrative Example. If the members billing cycle is on the 1st of each month and the member requests a freeze on the 15th, a $25 one time charge will be incurred and the new recurring membership + freeze fee billing date will shift to the 15th under a new membership contract.
• Term Tolling. Months during which the Membership is frozen do not count toward the twelve (12) months of the Initial Term. The Initial Term is extended by the length of the freeze period. • Studio Access. The Member will not be permitted to book or attend classes during a freeze period.
• Reactivation. The Member may reactivate the Membership at any time after the initial first month freeze by notifying the Studio in writing at least 3 business days before requested reactivation date, after which regular monthly dues will resume on the next Billing Date. If reactivation is requested before the next billing date, a charge of $2/day will be assessed on top of the monthly membership dues.
Illustrative Example. If the members billing cycle is on the 15th but requests a reactivation on the 10th, the member will be billed ($2 x 5 Days) + $215 = $225
4.2 Early Cancellation During the Initial Term. If the Member elects to cancel the Membership before the end of the Initial Term, the Member agrees to pay an early-cancellation fee (the “Early-Cancellation Fee”) calculated as follows:
Early-Cancellation Fee = $50.00 × N
where N equals the number of full calendar months remaining in the Initial Term as of the effective date of cancellation (with any partial month rounded up to a full month).
4.3 Illustrative Example. If the Member cancels at the end of month four (4) of the Initial Term, eight (8) months remain in the Initial Term, and the Early-Cancellation Fee equals $50.00 × 8 = $400.00.
4.4 Payment of Early-Cancellation Fee. The Early-Cancellation Fee is due and payable in full on the effective date of cancellation. The Member authorizes the Studio to charge the Early-Cancellation Fee to the payment method on file. Once the Early-Cancellation Fee is paid in full, the Membership terminates and no further monthly dues will be charged.
4.5 Liquidated Damages. The Parties acknowledge that the Studio’s actual damages for early cancellation are difficult to ascertain and that the Freeze Fee and Early-Cancellation Fee represent a fair and reasonable estimate of those damages and are not intended as a penalty.
4.6 Medical and Statutory Exceptions. Notwithstanding the foregoing, the Studio will waive or reduce the Early-Cancellation Fee where required by California law, including, where applicable, in the event of the Member’s death, permanent disability, or a documented relocation of the Member’s primary residence more than 25 miles from the Studio. Members invoking a statutory cancellation right must provide reasonable supporting documentation.
